SELLER OFFER

This Offer is an official proposal by INTERNATIONAL DIGITAL RETAIL S.R.L., a company registered in accordance with the laws of Romania, with its registered office at: Strada Povestei, nr. 10, Com.1, Mod 02/02, Sector 4, București, Romania, CUI: 48149668, J40/3366/2023 (hereinafter referred to as the “Platform” or “Administration”), addressed to legal entities and individual entrepreneurs (hereinafter referred to as the “Seller”) who wish to use the EXPRESS.MARKET Platform to list and sell their products.
1. General Provisions
1.1. The Platform provides a digital storefront, marketing, and technical tools for listing, promoting, and selling products.
1.2. The Administration is not a party to purchase and sale agreements and bears no responsibility for the Seller’s obligations to the Buyer.
1.3. Listing products on the Platform constitutes unconditional acceptance of this Offer.
2. Registration and Seller Requirements
2.1. To begin cooperation, the Seller must complete registration, provide accurate information, and submit documents confirming legal status and the right to conduct trade.
2.2. The Seller is fully responsible for ensuring that their products comply with legal requirements, including the presence of all necessary permits, certificates, and licenses.
3. Seller Obligations
3.1. Ensure the accuracy of product information.
3.2. Ensure the availability of products in the required quantity.
3.3. Handle shipping and returns within the specified timeframes.
3.4. Not list prohibited products, including:
• counterfeit and fake goods,
• weapons, drugs, or unlicensed medications,
• products infringing intellectual property rights,
• goods restricted within the EU.
4. Taxes, Duties, and Liability
4.1. The Seller is independently responsible for compliance with customs and tax regulations.
4.2. When selling through bonded warehouses, the Seller must clear customs and certify the product before transferring it to the Buyer.
4.3. The Platform is not liable for any violations committed by the Seller, including tax, customs, or legal issues.
5. Commissions and Payment Terms
5.1. The Platform’s commission is calculated dynamically based on product category, tariff plan, and Seller status.
5.2. Specific terms and commission rates are displayed in the Seller's personal account.
5.3. Additional marketing or service offerings are provided upon request and according to current tariffs.
6. Intellectual Property
6.1. The Seller guarantees that the content uploaded (photos, descriptions, product names) does not infringe on third-party intellectual property rights.
6.2. In case of third-party claims, the Seller bears full responsibility.
7. Liability
7.1. The Seller is fully responsible for:
• product quality,
• compliance with the description,
• availability of all necessary approvals,
• handling returns, exchanges, complaints,
• fulfilling obligations to the Buyer.
7.2. The EXPRESS.MARKET Platform does not guarantee transaction performance and bears no financial or other liability for Seller actions.
8. Termination of Cooperation
8.1. The Platform may unilaterally suspend or terminate cooperation with a Seller in case of violations of this Offer, legal requirements, or customer complaints.
8.2. In the event of serious violations or the listing of prohibited goods, the Seller’s account may be removed without prior notice.
9. Changes to the Terms
9.1. The Platform Administration reserves the right to modify this Offer. The latest version will be posted on EXPRESS.MARKET and comes into force upon publication.
